GENERAL TERMS AND CONDITIONS FOR THE SUPPLY OF THE NIOS4 PLATFORM

These General Terms and Conditions govern the use of the Nios4 platform, the applications developed through it, the related Cloud Services, and all Professional Services provided by D-One Software House.

Accessing the Services, registering an Account, activating a License, purchasing Additional Components, Custom Developments, or any other service related to the Platform constitutes acknowledgement and acceptance of these General Terms and Conditions.

If the Customer does not fully accept these General Terms and Conditions, the Customer shall not be entitled to access or use any of the Services provided by D-One.

These General Terms and Conditions shall be read together with any other contractual documents expressly referenced herein, including, without limitation, the Software License Agreement, the Cloud Services Terms, the Privacy Policy, the Data Processing Agreement (DPA), the documentation relating to the transparency of Artificial Intelligence systems, and any other document expressly referenced during the purchase or service activation process.

In the event of any conflict between these General Terms and Conditions and the specific provisions contained in a commercial offer, quotation or written agreement executed between the Parties, the latter shall prevail solely with respect to the matters expressly governed therein.


1. Definitions

For the purposes of these General Terms and Conditions, the following terms shall have the meanings set forth below.

D-One means D-One Software House, the owner and proprietor of the Nios4 Platform and the related software and Cloud Services.

Nios4 means the software platform developed by D-One that enables the creation, deployment and use of cross-platform business applications through dedicated Cloud Services and software components.

Platform means the entire ecosystem comprising software services, applications, Cloud Databases, IT infrastructures, APIs, web services and all technical tools forming part of the Nios4 environment.

Customer means any natural person or legal entity requesting, purchasing or using one or more Services provided through the Nios4 Platform.

Where the Customer uses the Services in connection with its business, commercial, industrial, professional or self-employed activities, the provisions applicable to business-to-business relationships shall apply.

Where the Customer qualifies as a consumer under the applicable legislation, the mandatory consumer protection provisions established by applicable law shall remain unaffected.

License means the temporary, limited and non-exclusive right to use the Platform or a specific software service made available by D-One.

Cloud Services means all services delivered through remote infrastructures, including, without limitation, database hosting, data synchronization, APIs, web features, mobile applications and any other service related to the Nios4 Platform.

Cloud Database means the Customer's data repository hosted on the infrastructures designated by D-One and used for the provision of the Services.

Account means the set of credentials enabling the Customer to access the Platform and its Services.

Personal Area means the reserved online area through which the Customer may manage its Licenses, Databases, authorised users, automatic renewals, payments and other available Services.

Professional Services means all activities performed directly by D-One personnel, including consulting, functional analysis, software development, configuration, installation, training, technical support, custom developments, data migration, system integrations and any other activity requested by the Customer.

Custom Development means any modification, software development or configuration carried out at the Customer's request for the purpose of adapting the Platform to the Customer's operational requirements.

Support Voucher means a prepaid package of service hours purchased by the Customer for the provision of Professional Services performed by D-One's technical personnel.

Expired Cloud Database means a Cloud Database associated with a License that has not been renewed and which is temporarily retained for a maximum period of thirty (30) days before permanent deletion.

Technical Backup means a backup copy automatically created by D-One for security, business continuity and disaster recovery purposes and retained for a maximum period of ninety (90) days.

Technical Local Copy means a temporary copy of a Database used by authorised D-One personnel for technical support, testing, configuration, training or custom development activities, whose data is deleted within approximately thirty (30) days, while the database structure alone may be retained where necessary.

Additional Components means all modules, plugins, extensions, APIs, user packages, database expansions, optional services and additional features that may be purchased separately from the main License.


2. Subject Matter of the Agreement

These General Terms and Conditions govern the contractual relationship between D-One and the Customer concerning the provision of Services delivered through the Nios4 Platform.

The Platform enables the use of software applications, Cloud Services and technological components designed for the management of data, documents, business processes and operational activities through desktop, web and mobile devices.

The Services include, by way of example and without limitation, the granting of Software Licenses, the provision of Cloud Databases, data synchronization services, hosting services, mobile applications, web applications, APIs, Additional Components, integration services, custom software developments, consulting, technical support, training and other Professional Services.

The characteristics and scope of the purchased Services shall be those described in the relevant commercial offer, purchase procedure, quotation, order or technical documentation available at the time the Agreement is concluded.

D-One reserves the right to update, improve and further develop the Platform over time, provided that its essential functionality and intended purpose remain substantially unchanged and in accordance with these General Terms and Conditions.

3. Formation of the Agreement

This Agreement shall be deemed valid and concluded upon the occurrence of any one of the following events:

  • the Customer completes the online purchase procedure;
  • the Customer accepts a quotation or commercial offer issued by D-One;
  • D-One confirms the Customer's order;
  • payment for the purchased Service is successfully received;
  • the requested License or Cloud Database is activated.

A request for information or a request for a quotation shall not constitute acceptance or formation of this Agreement.

D-One reserves the right to refuse any request for activation where technical, organisational, administrative or security reasons prevent the proper provision of the requested Service.

If D-One is unable to accept an order, it shall promptly notify the Customer accordingly. Where payment has already been received for Services that cannot be activated, D-One shall proceed in accordance with the applicable legislation or any specific agreements entered into between the Parties.


4. Account Registration

In order to access and use one or more Services provided through the Nios4 Platform, the Customer must create a personal Account.

The Customer undertakes to provide accurate, complete and up-to-date information during the registration process and to keep such information accurate and current throughout the entire duration of the contractual relationship.

Access credentials are strictly personal and confidential and shall be safeguarded with the utmost care. The Customer shall be solely responsible for all activities carried out through its Account unless the Customer demonstrates that any unauthorised use resulted from circumstances beyond its reasonable control and not attributable to its own conduct.

If the Customer becomes aware of any unauthorised access, loss of credentials or any suspicious or abnormal use of the Account, the Customer shall immediately notify D-One through the official support channels.

D-One may implement any technical or organisational measures deemed necessary to ensure the security, integrity and proper operation of the Platform, including the temporary suspension of the Account where there are reasonable grounds to believe that it has been compromised or used in breach of these General Terms and Conditions.

5. Platform License

The purchase of a Nios4 License grants the Customer a personal, limited, non-exclusive, non-transferable and, where provided for under these General Terms and Conditions, revocable right to use the Platform and the related Services for the duration and within the limits specified by the purchased subscription plan.

The License shall under no circumstances constitute a sale of the software nor transfer ownership of the Platform, its source code, trademarks, technical documentation or any other intellectual property rights belonging to D-One or its licensors.

The Customer acquires solely the right to use the Services made available through the Platform in accordance with the subscribed plan, these General Terms and Conditions and all applicable laws and regulations.

Unless expressly authorised in writing by D-One, the Customer shall not sublicense the License, reproduce the Platform, distribute copies of the software, perform reverse engineering, decompile, disassemble or otherwise attempt to derive or reconstruct the source code of the Platform or any of its components.

The License may be used exclusively for the purposes permitted under the purchased Service and in compliance with the technical, functional and commercial limitations set out in the subscribed plan.

Where the Customer purchases additional users, modules, Additional Components or optional Services, such items shall become an integral part of the main License and shall be governed by these General Terms and Conditions unless otherwise expressly stated in the relevant commercial offer.


6. Cloud Services

The Nios4 Platform is primarily provided under the Software as a Service (SaaS) model through Cloud infrastructures managed directly by D-One or by technology providers selected by D-One.

The Cloud Service includes the availability of the IT infrastructure required for the operation of the Platform, database hosting, data synchronization, web services, mobile applications, APIs included in the purchased subscription plan, and all features made available through the Customer's Personal Area.

The availability of the Cloud Service forms an integral part of the purchased License and shall be maintained throughout the contractual term, except in the cases of suspension or termination provided for under these General Terms and Conditions.

D-One implements appropriate technical and organisational measures designed to ensure service continuity, data protection and the proper operation of the Platform. However, the Customer acknowledges that no information technology system can guarantee the complete absence of interruptions, failures or service disruptions.

The Customer acknowledges that the provision of the Cloud Services may also depend upon infrastructures and services supplied by third parties, including, without limitation, hosting providers, DNS services, payment platforms, email service providers, push notification services and other technology providers. Any interruption, slowdown or temporary unavailability resulting from such third-party services, where not directly attributable to D-One, shall be addressed as promptly as technically feasible and shall not, in itself, constitute a breach of these General Terms and Conditions.

The technical specifications of the Cloud Service, including database capacity, available storage space, authorised number of users, included functionalities and any operational limitations, shall be those specified in the purchased subscription plan or in the commercial documentation in force at the time of purchase.


7. Additional Components and Optional Services

The Nios4 Platform may be expanded through the purchase of Additional Components, software modules, database expansions, additional user licenses, API services, optional features, standard database templates, integrations with third-party software and any other services made available by D-One.

The purchase of such components shall not automatically modify the characteristics, scope or terms of the main License except as expressly provided in the applicable commercial offer.

Each Additional Component shall be activated in accordance with the procedures and timeframes specified during the purchase process or in the quotation accepted by the Customer.

Where an Additional Component requires configuration, installation, software development or customization activities, such activities shall be deemed additional Professional Services and shall be governed by the relevant provisions set forth in these General Terms and Conditions.

Unless otherwise agreed in writing, the termination, expiration or cancellation of the main License shall also result in the termination of all Additional Components associated with it.


8. Service Activation

The purchased Services shall normally be activated following receipt of the payment specified in the online order confirmation and, where applicable, upon confirmation of receipt of any required advance payment.

Depending on the purchased Service, activation may include the creation of the Cloud Database, the activation of the License, the configuration of the Customer's Personal Area, the activation of mobile or web applications, the configuration of optional components, or the execution of technical activities by D-One personnel.

Activation times may vary depending on the type of Service requested, the complexity of any required custom developments, and the need to obtain additional information, documentation, materials or technical specifications from the Customer.

If the Customer fails to provide, within the requested timeframe, the information, documentation, functional specifications or any other material necessary for the activation of the Service, D-One may suspend the execution of the related activities until all required information has been received. Such suspension shall not constitute a delay or breach attributable to D-One.

Where the purchased Service includes preliminary Professional Services, activation may be subject to the approval of the technical specifications, confirmation of the order, or the scheduling of the activities with the assigned D-One personnel.

9. License Term

The term of the License shall be the one specified in the purchased subscription plan, commercial offer, quotation or purchase procedure.

Unless otherwise expressly stated, the License term shall commence on the date the Service is activated and shall remain valid until the expiration of the purchased subscription period.

The duration of the License shall not be affected by the Customer's actual use of the Platform. Failure to access the Services, occasional use of the Platform or temporary inactivity of the Cloud Database shall neither extend the License term automatically nor suspend the contractual period.

During the validity of the License, the Customer may purchase Additional Components, increase the number of authorised users, expand the Cloud Database capacity or request additional Professional Services. Unless otherwise expressly agreed in writing, such purchases shall not automatically modify or extend the expiration date of the main License.

Upon expiration of the contractual term, the License shall automatically cease to produce its effects unless renewed in accordance with these General Terms and Conditions.


10. Platform Ownership and Intellectual Property Rights

The Nios4 Platform, including its source code, software architecture, system database, technical documentation, trademarks, logos, graphics, user interfaces, APIs, software libraries, algorithms and any other element forming part of the Platform, shall remain the exclusive property of D-One or of the respective intellectual property rights holders.

The purchase of a License or of any Service related to the Platform shall not result in the transfer of any intellectual property rights to the Customer.

All data, documents, images, content, records and information entered or uploaded by the Customer into its own Cloud Database shall remain the exclusive property of the Customer.

Where D-One develops custom software, dedicated developments or specific configurations at the Customer's request, the ownership of the related intellectual property rights shall be governed by the provisions, if any, set forth in the applicable commercial offer or in the written agreement executed between the Parties. Unless otherwise expressly agreed in writing, all software tools, reusable components, software libraries, frameworks, development methodologies and technical know-how used or developed by D-One shall remain its exclusive property, while the Customer shall acquire solely the right to use the delivered solution within the scope of its License.

The Customer undertakes not to remove, alter, conceal or modify any copyright notices, trademarks, proprietary notices or other intellectual property notices displayed on the Platform or contained in the documentation provided by D-One.

11. Service Fees

The prices of the Services offered through the Nios4 Platform shall be those set forth in the price list in force at the time of purchase, in the applicable commercial offer, quotation or online purchase procedure.

Unless otherwise expressly stated, all prices are exclusive of VAT and any other taxes, duties or charges applicable under the laws in force.

D-One reserves the right to update its price list from time to time. Any such changes shall not affect Services already purchased for the current contractual term and shall apply exclusively to subsequent renewals or new orders, unless otherwise required by applicable law.

Promotions, discounts, temporary offers and special pricing granted to specific categories of Customers shall remain valid only for the period expressly indicated and shall not create any entitlement to maintain the same economic conditions for subsequent purchases, future renewals or different Services, unless otherwise agreed in writing.


12. Payment Terms

Payment for the Services may be made using the payment methods made available by D-One at the time of purchase, including, by way of example and without limitation, credit cards, debit cards, bank transfers and electronic payment systems.

For certain Services, D-One may rely on payment platforms operated by specialised third-party payment service providers. In such cases, payment transactions shall be processed directly by the relevant payment service provider in accordance with its own contractual terms and privacy policy.

The Customer shall ensure that the selected payment method is valid, active and capable of processing the required charges.

If a payment is declined, cancelled, revoked or cannot be successfully processed for any reason attributable to the Customer or to the selected payment method, D-One may suspend the activation or continued provision of the relevant Service until the Customer's administrative position has been regularised.

Any bank charges, currency conversion fees or other costs imposed by financial institutions or payment providers shall be borne exclusively by the Customer unless otherwise expressly agreed.


13. Invoicing

Invoices shall be issued in accordance with the applicable tax legislation and delivered using the methods required by the applicable laws and regulations.

The Customer shall be solely responsible for the accuracy, completeness and ongoing updating of all tax, administrative and billing information associated with its Account.

From the time of registration and throughout the entire contractual relationship, the Customer shall verify and keep up to date its company name, VAT number, tax identification number, registered address, electronic invoicing code (where applicable), certified email address (PEC), administrative contact details and any other information required for the correct issuance of tax documents.

Such information shall be managed and updated directly by the Customer through the Personal Area available on the nios4.cloud portal or through any other Account management tools made available by D-One.

D-One shall issue invoices exclusively on the basis of the information available in the Customer's Account at the time the tax document is generated and shall have no obligation to verify the accuracy, completeness or currency of such information, nor to manually amend it upon the Customer's request.

Any errors, delays, omissions or inability to issue invoices or other tax documents resulting from incomplete, inaccurate, outdated or incorrectly entered information provided by the Customer shall remain the sole responsibility of the Customer and shall not give rise to any liability on the part of D-One.

Where applicable tax legislation permits the issuance of credit notes, corrective invoices or any other rectifying tax documents as a consequence of incorrect information provided by the Customer, D-One reserves the right to charge the Customer for any administrative costs reasonably incurred in handling such requests, in accordance with the price list in force at the relevant time.

Any communications sent by D-One to the email address associated with the Customer's Account shall be deemed to have been validly delivered to the email address designated by the Customer. The Customer is solely responsible for keeping its contact details up to date and for periodically verifying the accuracy of the information available within its Personal Area.


14. Automatic Renewal of Services

Unless otherwise expressly provided in the purchased subscription plan or in the applicable commercial offer, the SaaS and Cloud Services provided by D-One shall be subject to automatic renewal upon expiration of their respective contractual term.

The purpose of the automatic renewal is to ensure the continuity of the Service by preventing interruptions in access to the Platform, the availability of the Cloud Database and the related functionalities.

By enabling automatic renewal, the Customer authorises D-One to charge the applicable renewal fee using the payment method associated with the Service.

The renewal fee shall be the price in effect at the time of renewal, taking into account any updates to the price list communicated in accordance with these General Terms and Conditions.

The Customer acknowledges that automatic renewal constitutes an integral part of the operation of the Service and may be disabled at any time before the next scheduled renewal date, using the procedures available through the Customer's Personal Area or otherwise communicated by D-One.

Disabling automatic renewal shall prevent only future renewals and shall have no retroactive effect on any contractual period that has already commenced.


15. Renewal Communications

In order to assist the Customer in managing its Licenses, D-One or the relevant payment service provider may send informational communications regarding the upcoming expiration of a Service, an upcoming automatic renewal or the outcome of payment transactions.

Such communications are provided solely for informational purposes and shall not constitute a condition for the validity of the renewal nor an essential element of the contractual relationship.

The Customer is therefore solely responsible for monitoring the duration of its Licenses, the validity of the selected payment method and the automatic renewal settings available through the Personal Area.

Failure to receive any such communications due, by way of example, to spam filters, unavailable or malfunctioning email accounts, outdated email addresses, technical issues affecting the Customer's email provider or any other circumstance not attributable to D-One shall not affect the validity or effectiveness of the Service renewal.


16. Management of Automatic Renewal

The Customer may verify the status of its Services at any time by accessing its Personal Area.

Where the Service permits, the Customer may independently enable or disable automatic renewal at any time before the scheduled renewal date.

Disabling automatic renewal shall take effect only upon expiration of the contractual period that has already been paid for and shall not result in the immediate termination or interruption of the Service.

If the Customer subsequently re-enables automatic renewal after having previously disabled it, the Service shall continue to renew automatically in accordance with the pricing and contractual conditions in force at the time of each renewal.

17. Non-Payment

If payment cannot be successfully processed on the scheduled due date, D-One may make additional collection attempts in accordance with the procedures permitted by the applicable payment service provider.

During this period, the Service may remain temporarily available or may be suspended, depending on the characteristics of the purchased subscription plan and the technical procedures adopted by D-One.

If payment is not successfully completed within the deadline established by D-One, D-One may suspend access to the Cloud Database, restrict certain Platform functionalities or terminate the Service.

Suspension of the Service shall not release the Customer from the obligation to pay any amounts accrued up to the effective date of termination of the contractual relationship.


18. Service Expiration and Temporary Retention of the Cloud Database

Upon expiration of the License, if the Service is not renewed, the Customer shall lose the right to use the Platform, access the Cloud Database and use the functionalities included in the purchased subscription plan.

From the expiration date, the Cloud Database shall enter a temporary retention period intended to allow the Customer either to regularise the Service or to export its data.

Unless otherwise required by applicable law, agreed in writing between the Parties, or prevented by technical circumstances beyond D-One's reasonable control, the expired Cloud Database shall be permanently deleted within 30 days following the expiration of the Service.

During this temporary retention period, D-One does not guarantee the full availability or operation of the Cloud Database, the continuity of data synchronization or the availability of all functionalities that were previously active.

The Customer is therefore responsible for exporting all data and information it intends to retain before the expiration date or, in any event, during the temporary retention period.

After expiration of the applicable retention period, the Cloud Database may be permanently deleted without any further obligation on the part of D-One to retain, restore or recover the Customer's data.


19. Technical Cloud Backups, Technical Access and Management of Local Copies

D-One implements technical backup systems designed to ensure service continuity, infrastructure security and disaster recovery in the event of technical failures, incidents, data loss or data corruption.

Such systems may include automated daily, weekly and monthly backups in accordance with D-One's technical procedures. Operational procedures may also provide for recovery through centralized backup systems or local copies available on compatible client environments.

Technical backups do not constitute a permanent data archiving service made available to the Customer and shall not replace the Customer's responsibility to independently maintain exports, documents and backup copies of any data necessary for its business activities.

In the event of termination, expiration or deletion of a Cloud Database, any residual copies contained within D-One's technical backup systems may be retained for a maximum period of 90 days, exclusively for technical, security, business continuity, disaster recovery or legal compliance purposes.

During this retention period, data contained within technical backups is not ordinarily available for the Customer's operational use and may be restored only where technically feasible and in accordance with the applicable operational procedures.

Upon expiration of the maximum retention period, technical backups shall be permanently deleted or overwritten as part of D-One's ordinary backup rotation procedures.

For the purposes of providing support, diagnostics, training, configuration, software development, testing or customization services, D-One may create or use local copies of the Customer's Database in accordance with its operational procedures and only to the extent reasonably necessary for the performance of the requested Services.

Such local copies may be temporarily connected to the Cloud environment or used as isolated, non-synchronized testing environments, depending on the nature of the intervention. Where technically necessary for minor corrections, maintenance activities, custom developments or operational recovery, D-One may also access and operate directly on the production Database.

Local copies containing Customer data shall be managed through technical procedures designed to clear the database tables containing Customer operational data within approximately 30 days from their creation or from the last activity for which they were used.

Where appropriate for testing, maintenance, support, software development or the reuse of technical configurations, D-One may retain only the technical structure of the Database after the Customer data has been removed.

The retention of the database structure alone shall not constitute retention of the Customer's operational data, documents, records, content, personal data or any other information stored within the Cloud Database.

20. Refund Policy

Unless otherwise required by applicable law or expressly agreed in writing between the Parties, all fees paid for Software Licenses, Cloud Services and renewals relating to contractual periods that have already commenced are non-refundable.

Any request to disable automatic renewal submitted after the renewal has already taken effect shall neither cancel the contractual period that has already begun nor entitle the Customer to a full or partial refund of the amounts already paid.

Likewise, failure to use the Service, partial use of the available functionalities, the cessation of the Customer's business activities, changes in the Customer's organisational requirements or any other circumstances not attributable to D-One shall not constitute grounds for a refund.

Nothing in this Article shall prejudice any mandatory rights granted to consumers under applicable law where the Customer qualifies as a consumer.


21. Support Vouchers and Professional Services

D-One offers Professional Services relating to installation, configuration, training, consulting, technical support, functional analysis, software development, customization, data migration, integration with third-party systems and any other activities requested by the Customer that fall outside the ordinary provision of the Software License or the Cloud Services.

Such activities are provided through prepaid Support Vouchers, dedicated commercial offers or in accordance with the terms expressly specified in the applicable quotation or commercial proposal.

Support Vouchers represent prepaid working time that may be used exclusively for the provision of Professional Services. The available balance shall be deducted according to the actual time spent by D-One's technical personnel in performing the requested activities.

The purchase of Support Vouchers shall not grant the Customer any priority over other scheduled activities unless otherwise provided under specific support packages or dedicated contractual agreements.

Professional Services shall be performed exclusively during D-One's normal business hours and in accordance with the schedule agreed with the Customer.

Where the Customer requests remote appointments, training sessions, functional analysis or any other activity requiring the involvement of D-One's technical personnel, the time spent performing such activities may be deducted from the Customer's available Support Vouchers or invoiced separately in accordance with the price list in force.

The procedures governing the use of Support Vouchers, the scheduling of technical activities and the provision of Professional Services are set forth in D-One's Operational Procedures, which form an integral part of the contractual documentation.

Software development activities, new functionalities, custom developments, structural database modifications, functional analysis and other enhancement projects may be performed either by using the Customer's available Support Vouchers, with deductions based on the actual time spent by D-One's technical personnel, or under a dedicated commercial quotation where the complexity of the requested work so requires.

Upon completion of the requested activities, D-One will normally deliver the developed solution through a remote support session during which the implemented functionalities are presented to the Customer and confirmation is obtained that the requested work has been completed in accordance with the agreed specifications.

If, during the development process or after delivery, the Customer requests modifications, enhancements or changes to the specifications originally agreed upon, such requests shall be deemed new development activities. Their implementation shall be subject to a prior technical feasibility assessment by D-One and may require additional development time and corresponding charges, either through the use of additional Support Vouchers or under a new commercial quotation.

All custom developments, scripts, calculations, configurations, automations and any other modifications created by D-One's technical personnel shall form an integral part of the delivered solution and shall not be modified, removed, replaced or altered by the Customer or by any unauthorized third party.

If the Customer independently modifies the custom developments created by D-One, or permits any third party to modify them without D-One's prior written authorization, D-One shall have no obligation to guarantee the proper operation of such custom developments and shall not be liable for any malfunction, data loss, incompatibility or anomaly resulting therefrom. In such circumstances, any warranty relating to the original work performed by D-One shall automatically cease to apply, and any subsequent analysis, restoration, support or further development shall constitute a new Professional Service to be invoiced in accordance with the price list in force or charged against the Customer's available Support Vouchers.

Furthermore, D-One shall not be liable for any malfunction, incompatibility or other issue arising from modifications made by the Customer or by third parties after delivery of the custom solution, including where such modifications indirectly affect functionalities originally developed by D-One.

22. Software Customizations

The Nios4 Platform has been designed to provide a high degree of configurability and customization in order to meet the operational requirements of individual Customers.

The Customer may request that D-One develop customizations, integrations, structural database modifications, automations, scripts, reports, print layouts, integrations with external systems or any other software developments intended to extend the functionality of the Platform.

Each request shall be subject to a prior technical, functional and commercial assessment and, where appropriate, formalized through a specific commercial quotation.

Customizations shall be implemented only after acceptance of the applicable commercial quotation or, for activities of limited scope, through the use of the Customer's available Support Vouchers.

Estimated implementation times are indicative only and may vary depending on the technical complexity of the requested work, the availability of resources, the need to obtain additional information or clarification from the Customer, or the existence of previously scheduled higher-priority activities.

During the execution of the requested work, D-One may operate directly on the Customer's production Database or may use temporary technical copies in accordance with its Operational Procedures and the security measures adopted by the company.

Unless otherwise expressly agreed in writing, all customizations shall be developed using software tools, software libraries, frameworks and technological components created or owned by D-One, which shall remain its exclusive property.

The Customer shall acquire only the right to use the delivered customization within the scope of its License and shall not acquire any ownership rights in the source code, development tools, software libraries or technical components used to create it.

D-One reserves the right to reuse, modify, integrate or transform any technical solution developed in the course of a customization project into standard Platform functionalities, add-ons, reusable software components or new commercial products, provided that such reuse does not disclose any confidential information, Customer data or elements capable of identifying the Customer.

The technical procedures governing the design, development, testing, installation, delivery and documentation of customizations are set forth in the Operational Procedures published by D-One.


23. Delivery, Testing and Acceptance of Customizations

Upon completion of the development activities, D-One shall make the delivered customization available to the Customer by installing it directly on the Customer's Database, deploying an update to the Platform or conducting a remote presentation and training session, as appropriate.

During the delivery phase, D-One's technical personnel shall explain the operation of the delivered solution and provide the Customer with the information necessary for the proper use of the newly implemented functionalities.

Where appropriate for the type of work performed, delivery may take place through video conference or other remote communication tools.

For the purpose of documenting the activities performed, improving service quality and ensuring the traceability of technical interventions, D-One may record delivery, training or support sessions after informing the Customer in advance.

Any recordings made shall be used exclusively for technical documentation, verification of the activities performed, service improvement, protection of the Parties and the fulfilment of contractual obligations.

D-One may also use automated systems for the transcription of conversations, the generation of technical reports, summaries of the activities performed and other supporting documentation, including through Artificial Intelligence technologies, in accordance with applicable law and the information notices published by D-One.

The Customer shall promptly verify the proper functioning of the delivered customization and report any defects or anomalies within a reasonable period after it has been placed into operational use.

Any malfunction directly attributable to defects in the customization developed by D-One shall be corrected without additional charge during the warranty period specified in the applicable commercial offer or as otherwise required by applicable law.

The following shall not be considered defects in the delivered customization: modifications requested after delivery, changes to the Customer's operational requirements, interventions performed directly by the Customer or by third parties, or adaptations made necessary by subsequent legal, regulatory, organizational or technological changes.
